1. This Agreement

1.1 These terms and conditions in this Agreement (“the Agreement”) apply to the use of this website located at https://www.infinitegui.com/ (“the Site”). By using this Site, you agree to be bound by this Agreement.

1.2 If you do not accept the terms and conditions in this Agreement, you must stop using the Site immediately.

1.3 This Agreement must be read and accepted in conjunction with the Privacy Statement, Website Terms of Access Agreement, and, if applicable, the Exclusive Distribution Agreement and any other relevant terms and conditions governing the use of the Site.

1.4 You may only use this Site if you are 18 years or older. If you are under 18, you must stop using the Site immediately.

1.5 Membership is not open to everyone, and we reserve the right to refuse your application for membership pursuant to this Agreement.

2. Definitions

In this Agreement, the expressions “we,” “us,” and “our” refer to InfiniteGUI, and the expressions “you,” “your,” or “members” refer to the members or individuals acting on behalf of members who agree to the terms and conditions of this Agreement.

Approved Products: Products approved under subclause 12.B.4.
Consumer: Any person capable of purchasing a Product.
Commencement Date: The date specified in Schedule 1.
Exclusive Basis: To the exclusion of all others.
GST Law: Same as defined in the “GST law” under A New Tax System (Goods and Services Tax) Act 1999 (Cth).
Infringing Product: A product not approved by the Site pursuant to subclause 12.B.4 or in breach of this Agreement or any other governing the Site.
Intellectual Property: Rights in respect to copyright, trademarks, designs, patents, or circuit layouts.
Licence: A license procured in accordance with this Agreement.
Members: A person or an entity’s representative that agrees to the terms of the Membership Agreement and is an active user of the Site’s membership section.
Moral Rights: Rights of integrity and attribution of authorship under the Copyright Act 1968 (Cth) and similar rights worldwide.
Parties: Either the Site or a Member, as the context dictates.
Product: Any flash files, video files, audio files, font files, or other goods or materials uploaded or downloaded on the Site, including associated product descriptions and Intellectual Property rights.
Purchaser: A person with authority to act for another who intends to buy a Product pursuant to this Agreement or any Site Agreement.
Remuneration: The fee payable by or to the Site as calculated under subclause 14.B.2.
Service Fee: The remuneration the Site is entitled to upon the completion of a sale.
Site: The website located at https://www.infinitegui.com/.
Supplier: A person with authority to sell a Product pursuant to this Agreement or any other Site Agreement.
Users: Individuals who use the Product.

3. Terms of Membership

3.1 These terms and conditions apply to the Membership Section of this Site, including:

Buying Products;
Supplying and selling Products;
Posting in discussion forums, journals, or profile pages;
General use of the Membership Section.

3.2 To use the Membership Section, you must become a member by completing your registration on the Site.

3.3 Membership is free but non-transferable.

3.4 We reserve the right to terminate your membership at any time, including but not limited to:

Breach of this Agreement or any other Site Agreement;
Inability to verify the information you provide;
Actions that may cause legal liability for you, us, or other users.

3.5 Membership is only available to users aged 18 years or over. If you are under 18, you must not register as a member.

4. Duration

This Agreement remains in force as long as you use the Membership Section of this Site, subject to clause 12.

5. Importance of Login and Password

5.1 You are responsible for all access or use of the Membership Section that occurs with your username and password.

5.2 Your username and password serve as conclusive evidence of your access to the Membership Section.

5.3 You must indemnify us against any claims arising from unauthorized use of your username or password.

5.4 We cannot confirm the identity of other members and are not liable if they act under false pretenses.

6. InfiniteGUI’s Role

6.1 Our Site serves as a venue for members to offer, sell, and buy Products. We are not involved in transactions between buyers and sellers.

6.2 We are not responsible for the quality, safety, legality, or accuracy of Products, descriptions, or content uploaded by users.

6.3 We cannot ensure that buyers or sellers will complete transactions or act lawfully.

7. We Are Not an Agency

Both parties are independent contractors, and no agency, partnership, joint venture, or employment relationship is created by this Agreement.

8. We Act as a Cashier

8.1 We act as an independent cashier to process payments.

8.2 We are not a licensed financial service provider or bank and operate solely as a payment processor.

8.3 We do not provide financial products or services under Australian law.

8.4 You will not receive interest on funds processed through our services.

9. Release from Liability

In the event of a dispute or breach of agreement between users, you release InfiniteGUI from all claims, demands, and damages arising from such disputes.

10. Indemnification

You agree to indemnify InfiniteGUI and its affiliates from any claims or damages resulting from your breach of this Agreement or violation of any laws or third-party rights.

11. Amendments to Terms

We reserve the right to amend this Agreement at any time. Continued use of the Site following notification will constitute acceptance of the amended Agreement.
